Our experience in such matters includes:

• Formation of entities, including corporations and limited liability companies with multiple owners with diverse rights, preferences, and obligations, and the design of complex shareholder and operating agreements documenting such ownership structures;

• Drafting of resale, distributorship, OEM, manufacturing, intellectual property licensing and joint venture strategic alliance agreements, with particular emphasis on the pharmaceutical industry and business software providers;

• Representing medical practices in connection with the entire array of the companies’ and their principals’ corporate and commercial needs;

• Drafting of consulting, employment non-competition and licensing agreements;

• Representing franchisees in a broad range of franchises with respect to generic as well as industry-specific matters, including hotels, restaurants and business services;

• Acting as outside general counsel for privately-held commercial real estate development companies, including supervision and monitoring of the work of local zoning and HUD lawyers; and

• Structuring the offshore and domestic series of entities for inbound investments in real estate, manufacturing and other industries.
